【利用規約 / Terms of Service】

概要 / Overview 菌活堂へようこそ！「当社」、「当社を」、「当社の」は、MOMO Works合同会社が運営する菌活堂を指します。当社はShopifyプラットフォーム上で運営され、関連するすべての情報、機能、ツール、商品およびサービス（以下「サービス」）をお客様に提供します。

Welcome to Kinkatsudo! "We," "our," or "us" refers to Kinkatsudo operated by MOMO Works LLC. We provide you with our service, including our store and all related tools, information, products, and services, through the Shopify platform.

本サービスを利用することで、お客様は本利用規約およびプライバシーポリシー [LINK] に同意したものとみなされます。

By using our service, you agree to these Terms of Service and our Privacy Policy [LINK].

第1条 - アクセスおよびアカウント / Article 1 – Access and Account お客様は、ご自身の居住地域で法的な成人年齢に達しているか、または未成年者によるサービス利用について保護者として同意していることを表明・保証するものとします。

You represent and warrant that you are of legal age in your jurisdiction, or that you have given consent for any minor dependents to use this service.

当社のサービスをご利用いただく際に、お客様には、メールアドレス、請求先住所、配送先住所、決済情報などの正確で完全な情報を提供していただく必要があります。

When using our service, you may be required to provide accurate and complete personal information, including email address, billing and shipping addresses, and payment information.

お客様は、アカウント情報の機密保持およびアカウントで行われるすべての活動について責任を負うものとします。

You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.

アカウントを第三者に譲渡、販売、再配布、ライセンスすることは禁止されています。

You may not transfer, sell, redistribute, or sublicense your account to any third party.

第2条 - 当社の商品 / Article 2 – Our Products 当社は、オンラインストアにおいて、商品およびサービスを正確に記載するよう最大限努めております。ただし、ディスプレイの設定や照明などにより、実際の商品と表示されている画像の色合いが異なる場合があります。

We strive to describe our products and services accurately on our online store. However, actual colors and appearances may differ from those displayed due to monitor settings or lighting conditions.

お客様が購入された商品やサービスの品質または外観が、お客様の期待に沿うものであることを保証するものではありません。

We do not guarantee that the quality or appearance of any products, services, or information purchased or obtained by you will meet your expectations.

商品の詳細は、当社の裁量により予告なく変更されることがあります。当社は、いつでも製品の販売を停止する権利を有します。また、個人、地域、または管轄に基づいて商品の提供数を制限する場合があります。

Product descriptions may be modified at any time at our discretion without prior notice. We reserve the right to discontinue any product at any time and to limit the quantities offered per person, per household, or per region as needed.

第3条 - 注文 / Article 3 – Orders お客様は、当社が注文を承諾した時点で売買契約が成立することを認識し、注文後のキャンセルや変更はお受けできない場合があることに同意します。

Your order is accepted only when we confirm it. Orders may not be cancelled or modified once confirmed.

返品・交換は、未開封商品のみ対象で、商品到着後30日以内に限ります。ストアクレジットをご希望の場合、返品送料は当社が負担します。返金をご希望の場合、返品送料はお客様のご負担となります。

Returns and exchanges are only accepted for unopened items within 30 days of delivery. For store credit, return shipping is covered by us. For refunds, return shipping is paid by the customer.

第4条 - 価格および請求 / Article 4 – Pricing and Billing 価格は予告なく変更される可能性があります。すべての支払いはShopifyチェックアウトを通じて行われます。

Prices may change without notice. All payments are processed via Shopify checkout.

第5条 - 配送および納品 / Article 5 – Shipping and Delivery 当社は日本郵便のクリックポストを使用し、日本国内のみ配送を行います。追跡番号は提供されません。送料は無料です。通常の配送期間は4～6日です。

We use Japan Post Clickpost to deliver within Japan only. No tracking is available. Shipping is free. Typical delivery time is 4–6 days.

第6条 - 知的財産権 / Article 6 – Intellectual Property 本サービスに含まれるすべてのコンテンツ（テキスト、画像、ロゴ、商品写真、動画、音声、デザイン、ブランド名など）は、MOMO Works合同会社またはそのライセンサーに帰属します。これらのコンテンツは、日本および国際的な著作権法およびその他の知的財産権によって保護されています。

All content included in the service—such as text, images, logos, product photos, videos, audio, designs, and brand names—is the property of MOMO Works LLC or its licensors and is protected by Japanese and international copyright and intellectual property laws.

お客様は、当社の事前の書面による許可なく、当社のサービス上のコンテンツを複製、配布、表示、公表、改変、リバースエンジニアリング、または派生的著作物を作成してはなりません。

You may not reproduce, distribute, display, publish, modify, reverse engineer, or create derivative works from any content on our service without prior written consent.

「菌活堂」や当社のロゴ、スローガン、商品名などは当社の商標であり、無断で使用することはできません。

"Kinkatsudo," our logos, slogans, and product names are our trademarks and may not be used without permission.

第7条 - 任意のツール / Article 7 – Optional Tools 当社のサービスには、第三者が提供するツールへのアクセスが含まれる場合があります。当社はこれらのツールの内容、正確性、機能性を監視または管理しておらず、いかなる保証や表明も行いません。

Our service may include access to third-party tools. We do not monitor or control the content, accuracy, or functionality of these tools and provide no warranties or representations regarding them.

お客様は、当社がこれらのツールへのアクセスを「現状有姿」かつ「利用可能な状態」で提供しており、いかなる保証も付されていないことを理解し、同意するものとします。

You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties.

お客様が当該ツールを使用することに伴うリスクはすべてお客様の責任となり、当該ツールの提供元が定める利用規約を確認し、同意する必要があります。

Any use of these optional tools is entirely at your own risk and discretion. You should ensure that you are familiar with and approve the terms provided by the relevant third-party provider.

今後、当社は新しいツールや機能を導入することがあります。これらの新しい機能も本利用規約の対象となります。

We may offer new tools or features in the future, which will also be subject to these Terms of Service.

第8条 - 第三者のリンク / Article 8 – Third-Party Links 当社のサービスには、第三者が運営するウェブサイトやサービスへのリンクが含まれる場合があります。これらのリンクは利便性のために提供されているものであり、当社がその内容を保証、承認、推奨するものではありません。

Our service may contain links to websites or services operated by third parties. These links are provided for your convenience only and do not constitute endorsement, approval, or recommendation by us.

We assume no liability for any issues, damages, or losses related to third-party websites or services. Please review their terms of use and privacy policies before engaging in any transaction.

第9条 - Shopifyとの関係 / Article 9 – Relationship with Shopify 当社はShopifyプラットフォームを利用して当オンラインストアを運営していますが、お客様が当ストアで行う購入や取引は、MOMO Works合同会社との直接の契約となります。

While we operate our online store using the Shopify platform, all purchases and transactions made on this store are directly between you and MOMO Works LLC.

お客様は、Shopifyが菌活堂との間の売買に関連するいかなる損害、損失、または請求（商品やサービスの購入、使用、または配達に関するものを含む）についても責任を負わないことを理解し、同意するものとします。

You acknowledge and agree that Shopify is not responsible for any damages, losses, or claims related to your transactions with Kinkatsudo, including those related to product purchase, usage, or delivery.

お客様は、菌活堂との取引に関連して生じたすべての請求、損害、責任について、Shopifyおよびその関連会社を明示的に免責するものとします。

You expressly release Shopify and its affiliates from any claims, damages, or liabilities arising from your transactions with Kinkatsudo.

第10条 - プライバシーポリシー / Article 10 – Privacy Policy 当社がサービスを通じて収集するすべての個人情報は、当社のプライバシーポリシー（こちらからご覧いただけます：[LINK]）に基づき取り扱われます。

All personal information we collect through the service is handled in accordance with our Privacy Policy (available here: [LINK]).

また、当社のサービスはShopifyによってホストされているため、一部の情報はShopifyのプライバシーポリシー（https://www.shopify.com/legal/privacy）に従って処理されることがあります。

Since our service is hosted on Shopify, some information may also be processed in accordance with Shopify’s Privacy Policy (https://www.shopify.com/legal/privacy).

Shopifyおよび当社が取得するお客様の情報は、日本国外のサーバーで保管・処理される場合があります。そのため、お客様はデータが日本国外に送信・保存されることに同意するものとします。

Shopify and our company may store and process your information on servers located outside of Japan. By using the service, you consent to the transfer and storage of your data outside Japan.

お客様は、当社のサービスをご利用いただくことで、これらのプライバシーポリシーを読み、理解し、同意したものとみなされます。

By using our service, you acknowledge that you have read, understood, and agreed to these privacy policies.

第11条 - フィードバック / Article 11 – Feedback お客様が当社に送信、投稿、アップロード、または提出したアイデア、提案、レビュー、コメント、その他のフィードバック（以下「フィードバック」）は、機密情報とは見なされず、当社はそれらを制限なく使用できるものとします。

Any ideas, suggestions, reviews, comments, or other feedback you provide to us (collectively, "Feedback") will not be considered confidential and may be used by us without restriction.

お客様は、当社がそのフィードバックを使用、複製、修正、公開、翻訳、配布、表示するための、全世界的かつ永続的、取消不能、ロイヤリティフリーのライセンスを付与したものとみなされます。

By submitting Feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, publish, translate, distribute, and display such content in any medium.

お客様は、フィードバックに関して必要なすべての権利を保有しており、その提供に関して第三者の権利を侵害していないことを表明し、保証するものとします。

You represent and warrant that you own or otherwise control all rights to the Feedback and that your submission does not violate the rights of any third party.

当社は、独自の裁量で不適切、不正確、または不快なフィードバックを削除する権利を有しますが、その義務を負うものではありません。

We reserve the right, but not the obligation, to remove content that we deem inappropriate, inaccurate, or offensive at our sole discretion.

お客様は、提出したフィードバックがウイルスやスパムを含まず、第三者を偽るものではないこと、そしてサービス運営に害を与える内容を含まないことに同意するものとします。

You agree not to submit Feedback that contains viruses, spam, impersonation, or other content that may harm the service.

第12条 - エラー、不正確な情報 / Article 12 – Errors and Omissions 当社のサービス上には、商品説明、価格、プロモーション、送料、在庫状況などに関する誤記、不正確な情報、記載漏れが含まれる場合があります。

Our service may contain typographical errors, inaccuracies, or omissions related to product descriptions, pricing, promotions, shipping costs, and availability.

当社は、これらの誤りを予告なく修正する権利を有しており、必要に応じて情報の更新、注文のキャンセルを行うことができます（注文確定後であっても）。

We reserve the right to correct any errors, inaccuracies, or omissions and to update or cancel orders if any information in the service is inaccurate at any time without prior notice (including after you have submitted your order).

情報は常に最新かつ正確であるよう努めますが、その完全性または正確性を保証するものではありません。

第13条 - 禁止事項 / Article 13 – Prohibited Uses お客様は、以下の目的でサービスを使用してはなりません：

(a) 違法な目的または不正な行為を行うため。 (a) For any unlawful or fraudulent purpose.

(b) 国際法、規制、法令、地方条例に違反する行為。 (b) To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances.

(c) 当社または第三者の知的財産権の侵害または侵害を助長する行為。 (c) To infringe upon or violate our intellectual property rights or the intellectual property rights of others.

(d) 差別、嫌がらせ、中傷、侮辱、害を与える行為。 (d) To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate.

(e) 虚偽または誤解を招く情報の送信。 (e) To submit false or misleading information.

(f) ウイルスまたはその他の悪意あるコードをアップロードまたは送信する行為。 (f) To upload or transmit viruses or any other type of malicious code.

(g) スパム、フィッシング、ファーミング、プレテキスト、クローリングまたはスクレイピングを行うこと。 (g) To spam, phish, pharm, pretext, spider, crawl, or scrape.

(h) 不道徳またはわいせつな目的で使用すること。 (h) For any obscene or immoral purpose.

(i) サービスのセキュリティ機能を妨害または回避する行為。 (i) To interfere with or circumvent the security features of the service.

当社は、禁止された利用に違反していると判断した場合、サービスの利用を終了させる権利を有します。

We reserve the right to terminate your use of the service for violating any of the prohibited uses.

第14条 - 契約終了 / Article 14 – Termination 当社は、お客様が本利用規約に違反したと判断した場合、事前の通知なしにいつでもサービスの利用を停止または終了する権利を有します。また、当社は単独の裁量により、サービスの全部または一部の提供を終了することができます。

You agree that we may, at our sole discretion, suspend or terminate your access to all or part of the service without prior notice, if we determine that you have violated these Terms of Service. We may also terminate the service, in whole or in part, at any time and for any reason at our sole discretion.

契約終了時までに発生したすべての未払い金は引き続きお客様の責任となります。

All obligations and liabilities incurred prior to the termination date shall survive the termination of this agreement.

契約終了後も、性質上存続すべき条項（知的財産権、フィードバック、補償、責任制限など）は引き続き効力を有します。

Provisions that by their nature should survive termination (such as intellectual property, feedback, indemnity, and limitation of liability) shall remain in effect after termination.

第15条 - 保証の免責 / Article 15 – Disclaimer of Warranties 本製品は医薬品ではありません。疾病の診断、治療、予防を目的としたものではありません。

This product is not a drug. It is not intended to diagnose, treat, or prevent any disease.

第16条 - 責任の制限 / Article 16 – Limitation of Liability 法律で許される最大限の範囲において、当社、MOMO Works合同会社、その代表者、従業員、関係者、パートナー、代理人、請負業者、ライセンサー、サービス提供者、サプライヤーは、お客様によるサービスの利用、またはサービスから取得した製品の使用、あるいは利用できないことに関連して生じるいかなる損害（直接的・間接的・偶発的・懲罰的・特別・結果的損害、利益の損失、収益の減少、節約の逸失、データの損失、代替費用など）について、一切責任を負いません。

To the fullest extent permitted by law, MOMO Works LLC, its representatives, employees, affiliates, partners, agents, contractors, licensors, service providers, and suppliers shall not be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind—including lost profits, lost revenue, lost savings, loss of data, replacement costs—arising from your use of the service or any products obtained using the service, or for any other claim related in any way to your use of the service or any product.

当社が事前にその可能性について知らされていたとしても、上記のような損害に対して責任を負わないものとします。

We shall not be held liable for such damages even if we have been advised of their possibility.

第17条 - 補償義務 / Article 17 – Indemnification お客様は、当社、MOMO Works合同会社、およびその親会社、子会社、関連会社、パートナー、役員、取締役、代理人、契約者、ライセンサー、サービス提供者、下請業者、供給者、従業員に対し、以下に起因または関連して生じたすべての請求、損害、義務、損失、責任、コスト、または費用（合理的な弁護士費用を含む）から補償し、無害とすることに同意するものとします。

You agree to indemnify, defend and hold harmless us—MOMO Works LLC—and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees, from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of:

(a) お客様による本サービスの利用。 (a) Your use of the service;

(b) 本利用規約または関連するポリシーの違反。 (b) Your breach of these Terms of Service or any related policy;

(c) 第三者の権利の侵害。 (c) Your violation of any third-party rights.

当社は、補償対象となる請求についてお客様に通知する権利を有し、お客様は当社の合理的な要請に応じて協力するものとします。

We reserve the right to notify you of any such claim and expect your cooperation in our reasonable defense efforts.

第18条 - 分離可能性 / Article 18 – Severability 本利用規約のいずれかの条項が違法、無効、または執行不能であると判断された場合、その条項は適用法で認められる最大限の範囲で有効であるものとし、執行不能な部分は本規約から分離されたものとみなされます。

If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms.

この判断は、他の残りの条項の有効性や執行可能性には影響を与えません。

Such determination shall not affect the validity and enforceability of any other remaining provisions.

第19条 - 権利放棄および完全合意 / Article 19 – Waiver and Entire Agreement 当社が本利用規約のいかなる権利または条項を行使または執行しなかった場合でも、それによって当該権利または条項の放棄とはみなされません。

If we fail to exercise or enforce any right or provision of these Terms of Service, that shall not constitute a waiver of such right or provision.

本利用規約および当社が本サービスに関して掲載するポリシーや運用ルールは、お客様と当社との間の完全な合意および理解を構成し、口頭または書面による過去または同時期のすべての合意、コミュニケーション、提案（過去のバージョンの利用規約を含む）に優先します。

These Terms of Service and any policies or operating rules posted by us in respect to the service constitute the entire agreement and understanding between you and us and govern your use of the service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written (including prior versions of the Terms of Service).

本利用規約の解釈におけるいかなる曖昧さも、起草者に不利に解釈されることはありません。

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

第20条 - 譲渡 / Article 20 – Assignment お客様は、当社の事前の書面による同意なしに、本利用規約に基づくいかなる権利または義務も譲渡、移転、または再販売することはできません。

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms of Service without our prior written consent.

当社は、いつでも通知または同意を要することなく、本利用規約に基づく権利および義務を第三者に譲渡または移転することができます。

We may assign or transfer our rights and obligations under these Terms of Service at any time without notice or consent.

第21条 - 準拠法 / Article 21 – Governing Law 本利用規約は、日本法に準拠します。

These Terms of Service shall be governed by the laws of Japan.

第22条 - 見出し / Article 22 – Headings 本利用規約における各条項の見出しは便宜のために付されたものであり、条項の意味または解釈に影響を与えるものではありません。

The headings used in these Terms of Service are included for convenience only and will not limit or otherwise affect the meaning or interpretation of the provisions.

第23条 - 利用規約の変更 / Article 23 – Changes to Terms 当社は、必要に応じて本利用規約を更新、変更、または置き換える権利を有します。変更は本ページに掲載された時点で有効となります。

We reserve the right to update, change, or replace any part of these Terms of Service as necessary. Changes become effective upon posting on this page.

お客様は、定期的に本ページを確認し、変更内容を把握する責任があります。変更後にサービスを引き続き利用することにより、お客様はその変更に同意したものとみなされます。

You are responsible for checking this page periodically for changes. Continued use of the service after changes are posted constitutes acceptance of those changes.

重大な変更があった場合には、適用法に従い、お客様に通知することがあります。
